The warm shell problem: what occupiers actually inherit

Every occupier taking space in an Indian technology park signs for a warm shell. Remarkably few know, at the point of signing, exactly what that phrase covers in their specific building.
The definition is not standard
"Warm shell" is a convention, not a specification. Across the parks reviewed for this paper, the scope of what a landlord delivers varied on every one of the following:
- Whether the HVAC is delivered to the floor or only to the riser
- Whether the false ceiling grid is in place
- The provision, or absence, of a fire detection and suppression layout
- Power allocation per square foot, and whether the DG backup is on the same basis
- Washroom finishing, which is sometimes in scope and sometimes not
Why it matters commercially
The delta between a generous warm shell and a thin one runs to a meaningful share of total fit-out cost. When that delta is not priced during negotiation, it lands on the occupier's project budget six months later, after the rent has already been agreed.
A practical schedule
Before signing, ask the landlord to confirm — in the lease, not in an email — the following:
- HVAC: tonnage, delivery point, and who owns the AHU
- Electrical: sanctioned load per sq ft, DG backup percentage, panel location
- Fire: detection layout, sprinkler drop provision, and the approval position with the local authority
- Ceiling and flooring: grid, tiles, raised floor if any
- Washrooms: count, finish level, and accessibility compliance
- Facade: whether any modification is permitted at all
What good looks like
The strongest occupier teams treat the warm shell schedule as a commercial annexure with a rupee value attached to each line. Where a landlord will not deliver an item, that item is costed and traded against rent or the fit-out contribution.
This turns an ambiguity into a negotiation, which is where it belongs.
